Welcome to Earning Curve. These Terms of Service ("Terms") govern your access to and use of our website, SaaS platforms, consulting services, software, and any related offerings (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
If you do not agree to these Terms, you must not access or use the Services.

1. Acceptance of Terms
These Terms form a legally binding agreement between you and Earning Curve. By using the Services you confirm that you are of legal age to form a binding contract.
2. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
3. Accounts & Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.
4. Our Services
We provide IT consulting, custom software development, SaaS solutions and related professional services. Services may be subject to separate agreements, statements of work or service level agreements.
5. Fees & Payment
You agree to pay all fees as specified in the applicable order form, quote or invoice. Payments are non-refundable except as expressly stated. Late payments may incur interest at 1.5% per month or the maximum allowed by law.
6. Intellectual Property
We retain ownership of our pre-existing intellectual property and any deliverables specifically identified as owned by us. Subject to full payment, we grant you a limited license to use deliverables for your internal business purposes.
7. User Content
You retain ownership of any content you provide to us. You grant us a worldwide, non-exclusive, royalty-free license to use, host, reproduce and modify such content as necessary to provide and improve the Services.
8. Prohibited Conduct
You may not: (a) reverse engineer or attempt to extract source code, (b) use the Services for any illegal purpose, (c) introduce viruses or harmful code, (d) interfere with the Services, or (e) scrape or collect data without permission.
9. Termination
We may suspend or terminate your access to the Services for breach of these Terms, non-payment, or legal requirements. Upon termination, your right to use the Services ceases immediately.
10. Limitation of Liability
To the maximum extent permitted by law, Earning Curve shall not be liable for indirect, incidental, consequential, special or punitive damages, even if advised of their possibility. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Earning Curve from any claims arising from your violation of these Terms, your User Content, or your use of the Services.
12. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of India. Any disputes shall be resolved exclusively in the courts located in Chennai, Tamil Nadu, India. You waive any objection to this venue.
